Felix Dellwood Digital Asset License Agreement

Version 1.0 – Effective Date: 12MAY2025

This License Agreement ("Agreement") is a legal contract between the purchaser ("Licensee") and Jesse Sculley, trading as Felix Dellwood (ABN: 40 493 637 144), the sole proprietor and intellectual property rights holder of the digital files made available for sale via https://felixdellwood.com.au.

By purchasing, downloading, or using any digital product (“Digital Asset”) from Felix Dellwood, you agree to be bound by the terms of this Agreement.

1. License Options

A. Personal Use License (included with purchase)

- Download and use the Digital Asset for personal, non-commercial purposes
- Modify, print, or render the Digital Asset for personal projects
- Share images of finished physical items online, with credit to Felix Dellwood
Does not allow:
- Commercial sale or distribution of physical or digital derivatives
- Sharing or redistributing the digital files themselves
- Uploading the file(s) to public repositories

B. Commercial Use License (optional upgrade)

- Use in commercial prototyping or client projects
- 3D print and sell limited physical products derived from the Digital Asset (up to 100 units)
- Modify files for use in commercial work
Does not allow:
- Redistribution or resale of the digital files in any form
- Licensing or sublicensing to third parties
- Uploading derivative digital designs to online marketplaces or platforms (e.g. Thingiverse, Cults3D)

2. Ownership & Copyright

All Digital Assets remain the intellectual property of Jesse Sculley, trading as Felix Dellwood.
This Agreement does not transfer ownership — only usage rights as outlined above.
All rights not expressly granted in this Agreement are reserved.

3. Delivery & Use

- Digital products are delivered via secure download immediately after purchase.
- Licensee is responsible for ensuring they have appropriate software to access and use the files.
- Felix Dellwood is not responsible for misuse or misapplication of files in any manufacturing or mechanical process.

4. Restrictions

You may not:
- Resell, share, distribute, or gift the original digital file(s) or modified versions
- Use the files for NFTs, blockchain-related purposes, or AI training without explicit permission
- Claim authorship of the original design

5. Refunds & Returns

All sales of digital products are final. Due to the non-returnable nature of downloadable content, no refunds or exchanges will be issued once the download link is provided.

6. Termination

If you breach any term of this Agreement, your license will terminate automatically without notice. In such cases, you must delete all copies of the Digital Asset(s) in your possession.

7. Limitation of Liability

To the maximum extent permitted by Australian consumer law:
- The Digital Assets are provided "as-is" without warranties of any kind.
- Felix Dellwood shall not be liable for any indirect, incidental, or consequential damages resulting from use or misuse of the Digital Assets.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Queensland, Australia.
Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Queensland.
